These Terms of Service ("Terms") govern your access to and use of the Cloud Talend website at cloudtalend.com (the "Website"), operated by Cloud Data LLC, doing business as Cloud Talend ("Cloud Talend," "we," "us" or "our"). Please read them carefully.

Using the Website or contacting us does not create a client relationship. Any services we provide are governed solely by a separate written agreement between you and Cloud Talend.

5. Inquiries and job applications

When you submit an inquiry or job application, you confirm that the information you provide is accurate and that you have the right to share it. We handle that information as described in our Privacy Policy.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLOUD DATA LLC, DOING BUSINESS AS CLOUD TALEND, AND ITS DIRECTORS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND CONTRACTORS ACTING IN CONNECTION WITH THE WEBSITE (COLLECTIVELY, THE “CLOUD TALEND PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL, WHETHER SUCH LOSSES ARE CHARACTERIZED AS DIRECT OR INDIRECT, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE WEBSITE OR ITS CONTENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ALL CLOUD TALEND PARTIES, COLLECTIVELY, TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR ITS CONTENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THIS IS A SINGLE AGGREGATE LIMIT FOR ALL SUCH CLAIMS COMBINED, NOT A SEPARATE LIMIT FOR EACH CLAIM, INCIDENT, OR CLOUD TALEND PARTY.

THE EXCLUSIONS AND LIMITATIONS ABOVE APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF A CLOUD TALEND PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or willful misconduct, or any liability that cannot lawfully be excluded or limited. Nothing in these Terms waives or restricts any rights or remedies that cannot be waived or restricted under applicable law. Where applicable law prohibits an exclusion or limitation, that exclusion or limitation applies only to the extent permitted by that law.

These Terms govern use of the website. Consulting, staffing, implementation, software, and other services provided under a separate written agreement are governed by that agreement, including its liability provisions. These Terms do not amend or override that agreement, and this Section does not apply to claims arising under it.

9. Indemnification

You agree to indemnify and hold harmless the Cloud Talend Parties (as defined in Section 8) from any claims, damages, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Website or your violation of these Terms.

10. Privacy

Our Privacy Policy and Cookie Policy explain how we collect and use information when you use the Website.

11. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Website will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Your continued use of the Website after changes take effect means you accept the updated Terms.

13. General

These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Cloud Talend regarding the Website. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.
